Nominating process change
In past years,
prior to the annual meeting, we have sent letters to each
member residing in any given district from which a director
is to be elected at the meeting. This letter explained how
our nominating procedure worked and requested the members
to nominate not more than two candidates from his or her district.
These votes were tabulated by the board of directors. The
nominees were then contacted in the order of the number of
votes received and asked if they would be willing to be a
candidate for the board of directors. Effective Nov. 1, 2009,
the board amended the bylaws to authorize the use of a nominating
committee which is appointed by the board and includes one
person from each board district. This committee will nominate
two candidates to run for each director position scheduled
for election at the member meeting. If anyone is interested
in being nominated to run for the director's position from
the district up for election, please contact our office or
a member of the nominating committee to express your interest.
The nominating committee will be happy to consider you. If
you are interested and are not selected by the committee,
you have the opportunity to file a petition which must be
signed by 25 members from within the petitioned district.
A copy of the petition will be provided by our office. The
bylaw sections covering the nominating procedures are:
Article IV, Section 4
a. Nominating Committee Nominations It shall
be the duty of the board of directors to appoint a nominating
committee which shall consist of one member from each board
district. A nominating committee member may not be an existing
board member, a relaative by birth or marriage of an existing
board member, or a known director candidate. The nominating
committee shall be appointed at least 120 days before the member
meeting. At least 90 days before the member meeting at which
directors are to be elected, the nominatting committee shall
nominate two candidates to run for each director position scheduled
for election at the member meeting. The committtee nominations
will be prepared and posted at the principal office of the cooperative
at least 30 days prior to the member meeting. Prior to the meeting
of the nominating committee, a copy of this bylaw section will
be published in the cooperative's monthly publication, along
with the board districts which are scheduled for election and
the area which they cover. As determined by the board, the cooperative
may reasonably compensate or reimburse the nominating committee
members.
b.Member Petition Nominations In addition to nominating committee
nominaations, members may nominate, through petiition, candidates
to run for a director position scheduled for election at a member
me,eting. A petition must be delivered to the cooperative at
least 60 days before the member meeting.
A member who wishes to file a petition may contact the cooperative's
office to obtain an official form to be used. The petition must
include at least 25 member signatures from within the petitioned
district with all of the required information being provided.
Onh one signature per membership is allowed. All of the dated
signatures must be within 60 days of the first signature. After
verifying the member petition complies with this bylaw. the
cooperative shall display the member peti tion nomination in
approximately the same locaation as the nominations from the
nominating committee.
At the June 21 Fulton County REMC annual meeting,
election of directors from the following districts will take
place:
District Two: Richland Township, Fulton County;
and all that part of Marshall County adjoining said Richland
Township and served by the cooperative.
District Three: Union Township, Fulton County;
Aubbeenaubbee Township, Fulton County; and all that part of
Marshall County adjoining said Aubbeenaubbee Township and
served by the cooperative.
District Eight: All that part of Pulaski County
North of State Road 14 and served by the cooperative; and
all the part of the Korth Bend Township, Starke County, served
by the cooperative.
You must reside in one of these districts
to be eligible to be a candidate for director this year.
